Terms of Service

By creating an account, accessing, or using TaxZeo ("Service") at https://ca.zeohq.com, you ("Subscriber" or "you") agree to be bound by these Terms of Service ("Terms") and all applicable Indian laws and regulations, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019.

The Service is provided by Ldelight Solutions Private Limited (CIN: U47912UP2024PTC196580), A7 Second Floor, Sector 10, Noida, Uttar Pradesh – 201301, India("Company", "we", "us", "our").

If you are entering into these Terms on behalf of a CA firm or other entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not use the Service.

TaxZeo is a cloud-based practice management and compliance platform designed for Chartered Accountant firms in India. Features include but are not limited to: CRM and lead management, client management, compliance deadline tracking, document management, invoicing, team management, client portal, and a website builder for tenant firms.

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• Notify us immediately at support@zeohq.com if you suspect unauthorized access
• Each subscription may cover multiple user seats as per your chosen plan
• You must not share login credentials between multiple individuals unless explicitly permitted by your plan

You may use TaxZeo solely for your CA firm's internal practice management purposes in accordance with these Terms and applicable law. You may allow your firm's employees and staff to access the Service under your account within the seat limits of your plan.

You must not:

• Use the Service for any unlawful purpose or in violation of ICAI regulations
• Upload malicious code, viruses, or any harmful data
• Attempt to gain unauthorized access to our systems or other subscribers' data
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or offer the Service as a bureau service to third parties without our written consent
• Use automated scripts to scrape or extract data from the Service
• Use the Service to store or transmit infringing, defamatory, or obscene content
• Impersonate any person or entity
• Circumvent usage limits, quotas, or access controls
• Use the Service to train AI/ML models without prior written consent

You retain full ownership of all data, content, and information you upload or create within the Service ("Your Data"). You grant us a limited, non-exclusive licence to store, process, and transmit Your Data solely to provide and improve the Service.

• You represent that you have all rights necessary to upload Your Data
• You are responsible for the accuracy of client and financial data
• You are responsible for obtaining necessary consents from your clients
• We will not access Your Data except to provide technical support at your request or as required by law

You may export Your Data at any time from the Settings page. After account termination, You may request a data export within 90 days.

The Service, including its software, design, trademarks, and content, is owned by or licensed to Ldelight Solutions Private Limited and is protected under Indian and international intellectual property laws. Nothing in these Terms transfers ownership of the Service to you.

We target 99.5% monthly uptime excluding scheduled maintenance windows (notified 48 hours in advance). We do not guarantee uninterrupted access. The Service is provided "as is" and "as available."

To the maximum extent permitted by applicable law:

• The Company's total aggregate liability to you for any claims arising from your use of the Service shall not exceed the total subscription fees paid by you in the 3 months immediately preceding the claim
• We are not liable for indirect, incidental, consequential, special, or punitive damages
• We are not liable for loss of data, profits, goodwill, or business opportunities
• We are not liable for delays or failures resulting from circumstances beyond our control (force majeure)

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under Indian law.

You agree to indemnify and hold harmless Ldelight Solutions Private Limited, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) Your Data; or (c) your violation of any third-party rights or applicable law.

• Entire Agreement: These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and us
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Severability: If any provision is found invalid, the remaining provisions continue in full force
• Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or acquisition
• Notices: Legal notices to us must be sent to the address above. We may send notices to your registered email address

We may revise these Terms. Material changes will be communicated via email and in-app notification with at least 14 days' notice. Continued use after the effective date constitutes acceptance.
